How we count
- The source: companies raising private money in the US under Regulation D must file Form D with the SEC. We use the SEC's own data, complete from late 2008. Figures are the amount the company says it sold.
- What's in: filers in the US and Canada that chose a technology industry on the form (technology, computers or telecommunications).
- What's out: business combinations, fund vehicles, offerings with nothing sold, and companies that were already public. When a company amends a filing we keep its latest figure once, under the date of its first filing.
- Held for checking: some filings stay out of every total until our editors confirm them, because a filing can be false: $100 million or more from a company with no filing history, $100 million or more with 300 or more investors (usually staff shares rather than a funding round), $500 million or more with fewer than five investors, and $25 million or more with no investors stated. We remove a filing altogether if reporting shows the money never arrived.
- What this can't show: it isn't every deal. Filing is not universal: we found no Form D from Anthropic, OpenAI or Anduril, so the totals understate the market. Investor funds that buy their shares do file, but those are fund vehicles and aren't counted. Rippling's 2019 and 2020 raises are here under its legal name, People Center; we found none for its later rounds, each under $1 billion. Filers also choose their own industry, so a tech company filing as "other" may not appear unless we've added it by name, and biotech isn't included. Canadian companies appear only if they filed with the SEC. A filing doesn't prove the money arrived, and it can be mistaken: the SEC publishes it but doesn't check it.
