On October 22, 2026, Intelligent Protection Management Corp. announced it signed a definitive agreement to acquire the information technology, telecommunications, and managed services business of Advanced Technology Distributors Inc. for up to $2.7 million.

Transaction Structure

Intelligent Protection Management Corp. entered into a definitive agreement with Advanced Technology Distributors Inc. to acquire AdTech's information technology, telecommunications, connectivity, managed services and related infrastructure solutions business. As part of the transaction, AdTech will contribute the business to its wholly owned subsidiary, AdTech IT LLC (JVCo).

Regulatory Approvals and Terms

The two-stage closings are tied to approvals from the California Public Utilities Commission (CPUC). The first closing is expected to occur promptly after the CPUC approves a Tier 2 Advice Letter relating to the transfer of AdTech's competitive local exchange carrier license (CLEC License) to JVCo. The final closing is expected after the CPUC approves a change-of-control filing relating to the CLEC License.

The transaction provides for aggregate consideration of up to $2.7 million, including a cash payment at the first and final closings, a seller note, and a performance-based earnout payment. IPM did not pay any consideration in connection with the signing of the purchase agreement.

Executive Statements

Jason Katz, Chairman and Chief Executive Officer of IPM, stated that the transaction represents an important milestone in the continued execution of the company's growth strategy. Katz noted that AdTech's recurring revenue model aligns closely with IPM's existing managed solutions practice.

James Lawson, founder and President of AdTech, added that the combination will integrate IPM's cybersecurity expertise and managed IT capabilities with AdTech's existing strengths to expand support and services for customers.
