Foresight to delist Tel Aviv shares, keep Nasdaq ADS listing

The Israeli 3D perception company said dual-listing costs prompted the move, with TASE trading in its ordinary shares ending January 1, 2027.

Foresight Autonomous Holdings, an Israeli developer of 3D perception systems, said on September 30, 2026 that it will voluntarily delist its ordinary shares from the Tel Aviv Stock Exchange, while its American Depositary Shares continue to trade on the Nasdaq Capital Market under the symbol FRSX.

What changed

The Ness Ziona-based company said it has asked the TASE to begin the delisting process for its ordinary shares, which carry no par value.

Under applicable Israeli law and TASE rules, the company said the last day the ordinary shares will trade on the TASE will be January 1, 2027, and the shares will be delisted on January 4, 2027. During the interim period, Foresight said the shares are expected to continue trading on the TASE.

Foresight said the move will not affect its Nasdaq listing or its reporting obligations under US securities laws, and that it will continue to file reports with the Securities and Exchange Commission.

Chief Executive Officer and Chairman Haim Siboni described the decision as "a natural next step for Foresight" and consistent with a strategy that he said includes "recently announced plans to enter the European data-center development market".

Siboni said that "Delisting from the TASE is expected to reduce cost and administrative complexity associated with maintaining a dual listing", and that it would let the company focus investor-relations and capital-markets resources on Nasdaq, where it said most trading in its securities takes place.

Foresight said holders of ordinary shares that currently trade on the TASE may convert them into ADSs through their banks or brokers. Each ADS currently represents 90 ordinary shares, according to the company.

The conversion process involves depositing ordinary shares in the Israeli custodian account of Bank of New York Mellon, the depositary of the company's ADS program, Foresight said. It added that no fractional ADSs will be issued in connection with the conversion, and that any fractional ADSs will be handled in accordance with applicable TASE rules and instructions.

Foresight describes itself as a technology company developing three-dimensional perception systems and cellular-based applications through its subsidiaries Foresight Automotive, Foresight Changzhou Automotive and Eye-Net Mobile.

The company said its 3D perception systems include automatic calibration and dense 3D point cloud modules that can be applied to markets including automotive, defense, autonomous driving, agriculture, heavy industrial equipment and UAVs, while Eye-Net Mobile develops vehicle-to-everything collision prevention solutions that deliver pre-collision alerts over existing cellular networks.
